AGREEMENT SCOPE

This Agreement sets forth the terms and conditions whereby Jane Johnson (Speaker) agrees to provide the Speaking Services at the Event. Speaker will be engaged for the limited purpose of providing the Speaking Services.

Neither party is by virtue of this Agreement authorized as an agent, employee, or legal representative of the other. Neither Party shall have the power to control the activities and operations of the other. The Parties' status at all times will continue to be that of an independent contractor relationship.

DESCRIPTION OF SERVICES

The Event Host hereby engages the Speaker, and the Speaker accepts such engagement to provide the Speaking Services. Specifically, the details of the Speaking Services are as follows:

FEES & EXPENSES

Event Host agrees to pay the Speaker the following amount as a total fee ("Fee") for the Speaking Services as previously agreed upon via email: * $ . Dollars Cents
The Fee will be paid as follows: a $500 nonrefundable retainer will be paid upon the execution of this Agreement. with the remaining balance remitted to Speaker at or before the Event.

The Speaker shall have the right to cancel or give the date to another Event Host if she does not receive the retainer fee three months before the scheduled Event date. Event Host will cover reasonable expenses related to the Speaking Services, including travel and lodging. The Parties will agree upon the expenses prior to the expenses being incurred, as much as possible, such as airfare and lodging, if applicable. Event Host will reimburse Speaker for those expenses not capable of being quantified prior to expenditure.

In the event that you need to reschedule, pricing and the Speaker's availability to provide services on such date will be reviewed. In the event of a cancellation, Event Host's retainer fee will be honored for one year. The Speaker makes no guarantee that she will be able to provide services or the pricing above for any re-scheduled session. A signed contract and retainer fee are required to reserve the specified date. Additional travel expenses will be handled on a case by case basis prior to the Event.

NONEXCLUSIVITY

The Speaker's Event content may include existing Speaker content from previous Events, messages, and other writings. Any new content the Speaker creates in preparation of and anticipation for the Event is not exclusive to the Event. As such, the content written for use at the Event belongs to the Speaker and not to the Event.

EXHIBITION

The Speaker reserves the right to display selected photographs and videos resulting from the Event as an example of the Speaker's work. The Speaker will tag the Event in such displays wherever possible. The Event Host releases all claims to profits that may arise from the use of photographs and videos. The Event Host hereby grants to the Speaker and its legal representatives and assigns, the irrevocable and unrestricted right to use and publish photographs and video of the Event for editorial, trade, advertising, and any other purpose and in any manner and medium; to alter the same without restriction; and to copyright the same. The Event Host hereby releases Jane Johnson Photography and its legal representatives and assigns from all claims and liability relating to said photographs and videos.

COPYRIGHT

Copyright is protected by the Federal Copyright Law. It is unlawful to copy or scan any images without permission of the photographer. Even though the pictures may be of you or your child, the photographer still owns the copyright to the image. Jane Johnson Photography retains the copyright and ownership of all images of the photo session and reserves the right to reproduce images for portfolio, studio display, gallery display, website, self-promotion, photo contests, etc. *

The agreement embodies the entire agreement between the Speaker and Event Host relating to the subject matter hereof. This Agreement may be changed, modified or discharged only if agreed to in writing by both Parties.
